AKB48 Group Services Membership Terms and Conditions

Article 1: Definitions
The following terms in these Membership Terms and Conditions shall have the meanings set forth as below.
(1) "AKB48 Group Services" means various types of services provided by AKS Co., Ltd. (for short, "AKS") for Members at the websites of "AKB48 Group Ticket Center" and "AKB48 Group Shop" operated and managed by AKS.
(2) "Transactions" means various activities carried out by Members using the AKB48 Group Services, including, but not limited to, ticket booking and shopping.
(3) "Service Provider" means a person who provides products or services subject to Transactions.
(4) "Member" means a person who has agreed to these Membership Terms and Conditions and who has been registered as a member of the AKB48 Group Services in a designated manner.
(5) "Membership ID" means an identification number necessary for a Member to use the AKB48 Group Services and which shall be assigned to each Member.
(6) "Membership Terms and Conditions" collectively refers to these Membership Terms and Conditions, Usage Notices and Guidelines of the AKB48 Group Services and other relevant documents.
(7) "Member Information" means personal identification information, including, but not limited to, information concerning a Member's attribute as disclosed by the Member to AKS, and history in relation to the Member's transactions.

Article 2. Membership Status
1. Members may use the AKB48 Group Services only after their application for membership is approved by AKS. Members shall acknowledge in advance that the content of Services that Members may be able to receive may vary, and that the content of such Services may change without prior notice in the basis of situations of AKS, its business partners or any force majeure event.
2. The content of Services that Members may be able to receive may vary, depending on whether Members’ place of residence is in and out of Japan.
3. Members may not transfer, sublease, provide as collateral, or dispose of in any form, any and all rights against AKS obtained in connection with their membership status or through the use of the Services.
4. Each member shall enter his or her Member Information in person, and shall carefully read instructions for data entry and register accurate information in designated entry fields. No registration by proxy shall be admitted.
5. AKS may refuse registration by applicants who had their membership revoked in the past or by those whom AKS shall deem ineligible for membership.

Article 3. Membership Registration Procedure
1. A minor must obtain the consent of his or her parent (i.e. a person with parental authority or a legal representative) to apply for membership. AKS may require name and other information necessary to confirm the consent of the parent of an underage applicant who wishes to become a Member. In case of failure to confirm such consent, AKS shall not approve the underage applicant's application for membership of the AKB48 Group Services.
2. An applicant for membership of the AKB48 Group Services must satisfy all of the following requirements. If AKS determines that the applicant fails to satisfy these requirements, AKS may decline admission to the AKB48 Group Services. If it is found after approval of membership that a Member fails to meet any one of the following requirements, AKS may revoke membership. The applicant must:
(a) be an individual person and not a legal entity;
(b) have means of payment designated by AKS concerning the AKB48 Group Services in and out of Japan;
(c) be eligible for Services as separately determined by AKS;
(d) have agreed to these Membership Terms and Conditions and admission guidelines;
(e) not have applied or registered for use of the AKB48 Group Services yet;
(f) not apply for purposes other than personal enjoyment (commercial purposes, etc.);
(g) not have had his or her previous membership revoked by AKS in the past;
(h) not have made any false or erroneous descriptions or left any field blank in the application form;and
(i) be aged six (6) years or older.
3. Members shall promptly register any change to their registered information.
AKS shall assume no responsibility for any damage caused by failure to change registration. Even if such registration change is made, any Transactions that have already been processed prior to the registration change shall be handled based on the information before the registration change.

Article 4. Liability for Management of Membership IDs and Passwords
When a Member's Membership ID and password match the information registered for the Services, AKS shall deem the access to have been made by the Member. In case of unauthorized, fraudulent or other unacceptable use of a Membership ID or password by a third party other than the Member, AKS shall not be liable for any damage that may arise in connection therewith.

Article 5. Obligations of Members
1. Members must comply with requirements notified by AKS, including, but not limited to, applicable laws and regulations, provisions of these Membership Terms and Conditions, usage guidelines and instructions, and shall not engage in any acts that shall impede AKS's activities and business operations.
2. Members shall ensure rigorous management of their Membership IDs and passwords so that they shall not come to knowledge of other persons.
3. When a Member recognizes the fact or possibility of unauthorized use of his or her Membership ID or password, the Member must immediately and at any cost notify AKS to that effect. Any damage due to failure to notify AKS or delay in notification shall be the responsibility of the Member.
4. In association with the use of the AKB48 Group Services, Members shall be prohibited from engaging in any of the following acts, which shall:
(a) interfere with the operation of the AKB48 Group Services;
(b) slander, defame or damage the reputation of, or cause disadvantage to AKS or other third parties, either actual or potential;
(c) constitute or lead to a criminal act, either actual or potential;
(d) use, directly or indirectly, the AKB48 Group Services for commercial purposes, including, but not limited to, the act of reselling for commercial purposes tickets and merchandise purchased through the AKB48 Group Services to many and unspecified persons on an online auction or by other means;
(e) neglect to pay for a ticket won by lottery within such payment period as designated by AKS;
(f) transmit large volumes of information with the intention of obstructing stable operation of the Services, or transmit advertisement information;
(g) disseminate a computer virus program that shall induce malfunctioning of information communication facilities or destruction of information;
(h) constitute fraudulent or unauthorized use of personal information of other persons, Membership IDs or passwords;
(i) use any of the data, information, texts, audio and video clips, illustrations and other items obtained from the AKB48 Group Services, for the purpose of reproduction, sale, publication or making them available for broadcasting, beyond the extent permitted by Copyright Act for personal use;
(j) infringe the intellectual property rights, privacy, portrait rights or other rights of AKS, other Members or third parties;
(k) constitute sales activities, religious missionary work or solicitation behavior, or political propaganda activities;
(l) constitute a breach of laws or regulations, administrative guidance, codes, morality or customs; and
(m) other acts which shall be deemed inappropriate by AKS on rational grounds.
5. In the event that a Member commits any of the prohibited acts as provided for in the preceding paragraph, or otherwise violates these Membership Terms and Conditions, AKS may take all or part of the actions set forth in the items below without being held liable for default in any event:
(a) Notice, warning or making other requests for improvement;
(b) Restriction or suspension of use of all or part of the AKB48 Group Services; and
(c) Termination of membership or claiming compensation for damages.

Article 6. Resignation from Membership
Members wishing to resign from membership must follow resignation procedures in person. Such resignation shall become effective upon completion of designated resignation procedures.

Article 7. Membership Terms and Conditions and AKB48 Group Services
1. These Membership Terms and Conditions shall apply to all Members, and Members shall comply with these Membership Terms and Conditions during the registration process and when using the AKB48 Group Services after registration.
2. These Membership Terms and Conditions shall be applicable to any and all situations in which Members shall use the AKB48 Group Services provided by AKS, and Members who have been admitted into the AKB48 Group Services shall be deemed to have accepted the content hereof
3. There exist individual rules related to the AKB48 Group Services, which form an integral part of these Membership Terms and Conditions. Users of each individual Service must agree to all of these rules and terms and conditions. In the event of a conflict between these Membership Terms and Conditions and individual rules, individual rules shall take precedence over these Membership Terms and Conditions, and the remaining parts shall be subject to these Membership Terms and Conditions and individual rules at the same time.
4. These Membership Terms and Conditions and other instructions may be inserted in relevant AKB48 Group Services to be provided. Members shall also observe such instructions on Services in using the AKB48 Group Services.
5. Members acknowledge that tickets and merchandise or the Services for Members are offered at the websites listed below in [List of online services and applications] ("Affiliate Websites"), and that such offering may be conducted in partnership with the AKB48 Group Website.

Article 8. Suspension, Cancellation and Termination of Services
1. AKS may suspend or cancel all or part of the AKB48 Group Services in its sole discretion when:
(a) maintenance of facilities installed or managed by AKS in connection with the AKB48 Group Services is carried out on a regular basis or due to an emergency situation;
(b) malfunction, failure or trouble of facilities installed or managed by AKS or other events make it impossible to provide the AKB48 Group Services to Members;
(c) a natural disaster, unforeseen event or other emergency has actually occurred or threatens to occur; or
(d) other cases in which it is reasonably necessary to suspend or cancel all or part of the AKB48 Group Services.
2. Notwithstanding the provisions of the preceding paragraph, AKS may terminate all or part of the AKB48 Group Services at any time in its sole discretion, and AKS does not guarantee to Members the continuation of the AKB48 Group Services.
3. AKS shall assume no responsibility for damages to any Members arising from any suspension, cancellation or termination of the AKB48 Group Services for any reason whatsoever.

Article 9. Handling of Personal Information
1. For the purpose of carrying out activities as set forth in Article 9, paragraph 3 below, AKS shall ask Members to provide their personal identification information, including, but not limited to, name, gender, address, phone number, e-mail address, booking history and purchase history ("Personal Information"), and shall keep records of such information.

3. Pursuant to Article 18, paragraph 1 of the Act on the Protection of Personal Information and JIS Q15001, AKS publicly announces that it shall use Personal Information provided by Members only to the extent necessary for the purposes of:
(a) providing the AKB48 Group Services;
(b) selling tickets and merchandise requested by Members and providing information by e-mail, direct mail or other means regarding services associated therewith, including changes and cancellations of performances, and additional and upcoming sales of tickets; however, AKS does not undertake that such information shall cover all changes and cancellations of all performances;
(c) providing information on tickets and merchandise handled by AKS by email, direct mail or other means;
(d) offering user support, including responding to enquiries, concerning the AKS48 Group Services;
(e) providing other services related to or associated with the AKB48 Group Services;
(f) providing information on new products, services, campaigns and gifts by AKS;
(g) distributing and sending e-mail news letters, direct mails and faxes to present products and services by AKS's business partners which shall be considered useful for Members;
(h) Carrying out marketing activities concerning products and services of AKS and its business partners;
(i) Providing answers to requests by Members for disclosure, correction, deletion or other processing of Personal Information;
(j) preparing statistical materials concerning service usage trends among Members; and
(k) using for purposes accepted by individual Members.
4. Members agree in advance that AKS shall entrust the handling of Personal Information to Services Providers, ticket issuers and other entities in connection with the AKB48 Group Services in order to confirm the validity of Membership IDs, winning and delivery of tickets and merchandise handled by AKS.
AKS may also entrust the handling of Personal Information to an outside entity only to the extent necessary to achieve relevant purposes. In such case, AKS shall sign such non-disclosure agreement as it shall designate as a standard with the outside entity, and shall ensure that Personal Information shall be fully protected.
5. AKS shall not disclose or provide Personal Information of Members to any third party, unless such disclosure or provision is:
(a) conducted under the Act on the Protection of Personal Information or other applicable laws or regulations;
(b) necessary to protect the life, body or property of a person and it is difficult to obtain the consent of the person;
(c) necessary to cooperate with a state organ, a local government or an entity entrusted with the handling of Personal Information in executing affairs specified by laws and regulations, and obtaining the consent of the person may impede the execution of such affairs; or
(d) conducted with the consent of the Member.
6. Provision of Personal Information shall be on a voluntary basis, but if compulsory questions are left unanswered, AKS may not be able to respond to enquiries or provide services.
7. In the event that Personal Information is obtained by methods other than directly from the person in writing, notice shall be provided on the AKB48 Group website.
8. A Member may request AKS to notify, disclose, correct, add or delete, discontinue the use of, erase, or discontinue the provision to a third party of, the purpose of using his or her Personal Information. Details of specified procedures shall be available at the contact point for complaints/consultation and enquiries about Personal Information described below in 11.
Such request shall only be made by the person himself or herself in principle, and any such request by a person under age may have to be made by his or her parent or guardian depending on the content of the Personal Information.
If any of the following items (a), (b) and (c) applies to the Member making such request, AKS shall not discontinue the use of his or her personal information, and in such case, shall then notify the Member to that effect without delay and explain the reason therefor; in the event that discontinuing the use of the personal information may:
(a) harm the life, body, property, or other rights or interests of the person or a third party;
(b) impede the proper conduct of business operations by the business operator in a significant manner; or
(c) constitute a violation of laws or regulations.
9. Some web pages of AKS's Services use cookies. AKS may use information obtained from cookies to analyze the use of its Services and to ensure the proper provision of the Services. With regard to Services for registered members, information obtained from cookies may be linked to other information that can identify Members, for the purpose of offering personalized services.
10. Any other matters regarding the handling of Personal Information of Members in connection with the AKB48 Group Services shall be subject to Privacy Policy set forth separately by AKS, and Members shall comply therewith.
11. Complaints/consultations and enquiries regarding Personal Information
Any Member may contact the following contact point for enquiries regarding his or her Personal Information, or the protection of Personal Information in general.

Article 10 Notice
AKS shall give notice to Members by sending a notice individually to each Member or by placing notifications on the website of the AKB48 Group Services, which notifications shall become effective at the time of placement. When notifying individually, AKS may only have to send a notice to the e-mail address or other contact point registered or informed by the Member in advance.

Article 11. Compensation
If a Member inflicts damage on a third party due to causes attributable to himself or herself in connection with the use of the AKB48 Group Services, the Member shall be liable to pay compensation for such damage.

Article 12. No Transfer
No Member shall transfer, donate or lend the authority to use the AKB48 Group Services, or other contractual status, to other persons, onerously or gratuitously, or shall provide such authority or status as collateral.

Article 13. Transactions concerning AKB48 Group Services
1. Any transaction between a Member and a Service Provider of the AKB48 Group Services shall be a direct bilateral transaction.
2. AKS shall not become a party to any Transaction except to act as a Service Provider in such Transaction. Any problem that may arise in the course of a Transaction shall be settled by mutual accord between the Member and the Service Provider, and AKS shall assume no responsibility for any Transactions.

Article 14. Indemnity
1. Members shall use the AKB48 Group Services on their own responsibility. AKS shall assume no liability for any damages arising out of information, materials or other items obtained by Members through the use of the AKB48 Group Services. In addition, AKS shall bear no responsibility for the reliability or accuracy of the content of information, materials or facts provided by AKS.
2. AKS shall assume no responsibility for any service disruptions that may arise due to causes attributable to Members.
3. AKS shall not be liable for failure to perform its obligations in connection with the provision of the AKB48 Group Services due to the occurrence of force majeure events, including, but not limited to, acts of God, laws or regulations, administrative guidance, guidance by competent supervisory agencies, accidents or other similar causes.
4. AKS shall assume no responsibility for damages of any kind whatsoever which may arise in the computer or network environment used by any Member through the use of the AKB48 Group Services.
5. AKS shall not be liable for failure to organize an event due to the occurrence of acts of God, outbreaks of contagious diseases, transportation strikes, road, railway or air traffic situations, laws or orders, administrative actions, or any other unavoidable causes.
6. AKS shall perform encoding of Personal Information entered and submitted by customers in using the AKB48 Group Services, and shall strictly manage and maintain confidentiality of such Personal Information with sufficient care. However, AKS does not warrant that such information shall be completely protected against such risks as leak, deletion or falsification by other persons.
7. AKS does not warrant that quantities of tickets or other merchandise to be sold by the AKB48 Group Services shall be sufficient to meet all purchase requests from customers, nor that the content of statements which shall appear on tickets or other merchandise sold by the AKB48 Group Services shall be true and correct, or performed as stated therein.
8. When the registered member uses any sites related to this service, the user shall be sure that he/she takes full responsibility for the use and that any damage caused by the use shall not be responsible for us.


Article 15. Discussion
Any matter not stipulated in, or any doubt concerning the interpretation of, these Membership Terms and Conditions shall be settled through discussions in good faith between the relevant Member and AKS.

Article 16. Effect and modification of Membership Terms and Conditions
1. Members acknowledge in advance that AKS shall be entitled to modify these Membership Terms and Conditions from time to time to a reasonable extent and in a reasonable manner without the consent of Members.
2. Any modifications to these Membership Terms and Conditions shall be posted on the website of the AKB48 Group Services, and the modified version hereof shall be applied thereafter.

Article 17. Termination of Membership
In the event that a Member is in breach of these Membership Terms and Conditions, AKS may terminate the Member's membership without prior notice. In such case, AKS shall not refund the amount of any ticket or merchandise that has already been paid by the Member, or shall not return any AKB48 Group Services purchased. Even after termination of his or her membership, the Member shall not be exempted from the obligation of paying any amount that has already become payable at the time of the termination.

Article 18. Voluntary Resignation of Membership
1. A Member wishing to resign from membership shall follow such procedures as shall be separately set forth. Upon resignation from membership, AKS shall not refund the amount of any ticket or merchandise that has already been paid by the Member, or shall not return any AKB48 Group Services purchased. The Member shall not be exempted from the obligation of paying any amount that has already become payable at the time of the resignation.
2. After resignation from membership, if the same Member wishes to apply for a new membership, the Member shall be newly registered, and none of his or her previous services shall be carried over.

Article 19. Governing Law and Language
These Membership Terms and Conditions shall be governed by the laws of Japan, and the governing language hereof shall be Japanese.

Article 20. Settlement of Disputes
Any problem arising in connection with the AKB48 Group Services, which may not be settled in accordance with these Membership Terms and Conditions, shall be settled through discussions in good faith between AKS and the relevant Member. All the lawsuits shall be exclusively brought in the Tokyo District Court of Japan in the first instance.
